Legal Counsel (M&A)

• take the lead on or contribute to projects pertaining to M&A in close cooperation with the company’s M&A department, as well as to ensure compliance with the requirements of both Russian and foreign law;
• draft and review agreements, including SPAs, SHAs and other ancillary agreements related to the transactions process, as well as other legal documents, draft memoranda and opinions, conduct legal research into Russian, EU, US and other foreign law;
• involve, coordinate and supervise efforts of external legal advisors in various jurisdictions of the Company’s operations; and
• identify and mitigate risks associated with the operation of the Company in Russia and foreign jurisdictions.

• a degree in law (a degree from a top-tier university and a specialization in private law would be a plus, LLM or other foreign education is also a plus);
• 5-6 years of PQE with an international law firm or prominent IT/telecom company;
• hands-on experience in corporate/commercial, information technology, intellectual property and employment practice areas;
• fluent legal English, both written and oral (any additional language is a plus);
• self-motivated team player with the ability to perform under pressure and meet deadlines, flexibility and independent judgment;
• excellent presentation, communication and negotiation skills; and
• experience of cooperation and participation as part of a global legal team in international and local projects.
