Rules for the promotion: "Yandex.Realty x Plus Points"

(hereinafter referred to as the "Rules" and the "Promotion" as applicable)

This document is a translation of Rules for the promotion: "Yandex.Realty x Plus Points" in English. In case of conflict between the Russian version of Rules for the promotion: "Yandex.Realty x Plus Points" and this translation - the Russian version of Rules for the promotion: "Yandex.Realty x Plus Points" shall be deemed as legally binding. 1. General Provisions

1.1. The Promotion is a promotion event, which is not a lottery, does not contain elements of risk and is conducted in accordance with these Rules available at: https://yandex.ru/legal/realty_points/?lang=en.

1.2. The Promotion is carried out on the territory of the Russian Federation.

1.3. The Promoter is: Yandex.Classifieds LLC, location address: 115035, Russia, Moscow, Sadovnicheskaya st., 82, bld. 2, office 3A06 (hereinafter referred to as the "Promoter", "Yandex").

2. Terms and Definitions

Yandex Plus Cashback Loyalty Program — a loyalty program held jointly by Yandex and Partners and aimed at increasing the activity of users in purchasing Yandex and Partner products and services, in particular in using Yandex and Partner Services, providing for accrual of Points to users on the grounds set forth in the rules posted at https://yandex.ru/legal/plus_loyalty (hereinafter referred to as the "Rules of Yandex Plus Cashback Loyalty Program").

Points — technical conventional units accrued on the grounds set forth in the Rules of the Yandex Plus Cashback Loyalty Program, registered on the card (a virtual savings card of the user without a tangible medium, linked to the user account and containing information on the balance of the Points accrued to the user (hereinafter referred to as the "Card").

Promotion Points — technical conventional units accrued on the grounds set forth herein and registered on the Card.

User — an individual who meets the requirements specified in section 3 of the Rules.

Promotion Period — from April 5, 2023 to May 10, 2023 inclusive (Moscow time).

Yandex Plus Subscription / Subscription is the provision to the User and no more than three Family Members of the User's family added by the latter the opportunity to receive remote access to the content of audio and audio-visual works for viewing and/or listening via the Internet for a fee for a limited period of time ("Content") as described on https://yandex.ru/legal/yandex_plus_privilege_list, in accordance with the rules specified in the following document: "Terms of Yandex Plus Subscription" (https://yandex.ru/legal/yandex_plus_conditions).

Partner — a legal entity that implements the Yandex Plus Cashback Loyalty Program jointly with Yandex (including by engaging third parties).

Purchase — a purchase (order and payment) by the User for the purpose of personal consumption of a product/service through Yandex Services.

Payment document — a document confirming the making of a non-refundable advance payment.

Yandex.Realty Website — the website of Yandex Realty Service https://realty.ya.ru, which provides an opportunity to search and select, as well as to place advertisements on the sale and/or lease of apartments, houses, rooms, shares in the right of shared ownership of real estate and land, as well as commercial real estate, and other property on the terms and conditions of the "Terms of Use of Yandex.Realty" (https://yandex.ru/legal/realty_termsofuse).

Personal Account — the User's account on Yandex services (including mobile apps), which contains information about the User, as well as other information related to the User's usage of these services, available to the latter after the User's authorization through Yandex ID, according to the User Agreement for Yandex Services (https://yandex.ru/legal/rules).

Ax Capital — D A X REAL ESTATE ONE PERSON COMPANY L.L.C., VAT number: 100585420100003.

Real Estate Unit — apartment in the following residential complexes in the United Arab Emirates:

in respect of which in the interface of Yandex.Realty Website there is a note about participation in the Promotion.

3. Promotion members

3.1. To take part in the Promotion User must be a legally capable individual over the age of 18 years, who has an IP address of the device (or proxy server) on the Internet, to the knowledge and information of the Promoter, related to the Russian Federation, who has an active Subscription or other subscription that includes it, and during the last 45 (forty-five) days before the start of the Promotion has not applied to the Partner of Yandex – Ax Capital on the purchase of any real estate unit.

4. Procedure for participation in the Promotion

4.1. Within the framework of the Promotion, a User can get the following amount of Promotion Points when purchasing a Real Estate Property in the United Arab Emirates after submitting an Application via the Yandex.Realty Website:

  • In the amount of 1 (one) % of the value of the Real Estate Unit specified in the contract for the purchase of the Real Estate in Russian rubles - when purchasing the Real Estate Unit in the following residential complexes: “Keturah Reserve”, “The Ritz Carlton Residences”;
  • In the amount of 0.7% (zero point seven) of the value of the Real Estate Unit specified in the contract for the purchase of the Real Estate in Russian rubles - when purchasing the Real Estate Unit in the following residential complexes: “Dubai Creekside”, “The Terraces Marasi Drive”, “Rukan Residences”, “Marina Living”.

If the value of the Real Estate Unit specified in the Agreement of Sale and Purchase of the Real Estate is denominated in a foreign currency, the conversion into Russian rubles, for the purpose of calculating the number of Promotion Points awarded under the Promotion, will be done at the official currency exchange rate of the Central Bank of the Russian Federation as of May 10, 2023.

4.2. In order to receive the Promotion Points specified in clause 4.1 of the Rules, the User during the Promotion Period shall:

  • submit an application for information about the Real Estate Unit (hereinafter referred to as the "Application") on the Yandex.Realty Website by telephone call or by sending a message via WhatsApp to the number specified in the advertisement for the sale of the Real Estate Unit, or by filling out a call-back form regarding the Real Estate Unit;
  • purchase the Real Estate Unit from Yandex Partner – Ax Capital during the Promotion Period. The moment of purchase for the purposes of the Promotion shall be deemed to be the payment of a non-refundable advance payment in respect of the Real Estate Unit, made after the Userr has signed the Real Estate Purchase and Sale Agreement;
  • send scanned copies of all pages of the reservation form, signed between User and Ax Capital, signed Real Estate Purchase and Sale Agreement as well as payment documents confirming the non-refundable advance payment for the Real Estate to the support team chat of the Yandex.Realty Website (https://wa.me/+79645696401) of Yandex.Realty Service. By sending a scanned copy of the agreement and payment documents to support team chat of the Yandex.Realty Website, the User gives consent for Yandex.Classifieds LLC (OGRN 5157746192742) to process the personal data contained in the agreement for the purpose of participation in the Promotion;
  • send to the support team chat of the Yandex.Realty Website (https://wa.me/+79645696401) information about the User's Yandex ID account, where Promotion Points will be credited if User fulfills the conditions of the Promotion. User’s Yandex ID account should have active Subscription (or other subscription that includes it) at the time of sending information about it to the support team chat. If User’s Yandex ID account does not have active Subscription (or other subscription that includes it), User must acquire Subscription (or other subscription that includes it) before May 20th, 2023, to receive Promotion Points. By sending the Yandex ID account information to support team chat of the Yandex.Realty Website, User gives consent for Yandex and its affiliates to process the personal data contained in such information by any means to ensure participation in the Promotion.

4.3. Promotion Points credited to the User in accordance with this section of the Rules may be used by the User as part of the Yandex Plus Cashback Loyalty Program in accordance with the terms and conditions thereof.

4.4. The User who has complied with the conditions for receiving Promotion Points and in respect of whom Yandex Partner – Ax Capital has confirmed to Yandex the accuracy and correctness of the documents sent by the User, as specified in clause 4.2. of the Rules (signed agreement and payment documents) will receive the Promotion Points during the period from May 20 to 25, 2023.

Promotion Points shall be credited only to the User who has active Subscription (or other subscription that includes it).

4.5. Promotion Points shall not be refundable if used, nor shall they be refundable in cash equivalent or be exchanged for funds.

4.6. The number of Real Estate Units that may be purchased cumulatively by all Users as part of the Promotion is limited and may not exceed fifty (50). Upon reaching fifty (50) Real Estate Units purchased under the Promotion, the Promotion will be terminated prematurely.

4.7. Promotion Points accrued under the Promotion are summed up with Points accrued as part of the Yandex Plus Cashback Loyalty Program in accordance with the rules thereof.

4.8. The Promoter has the right to change the number of Promotion Points accrued, as well as the conditions for their accrual, at any time.

4.9. Promotional Points can be deducted by Yandex unilaterally (in proportion to the amount of funds returned) in the event of a full or partial refund of funds deposited as part of the payment for a Real Estate Unit within the framework of the Promotion.

5. Miscellaneous

5.1. The Promoter shall reserve the right to suspend or terminate this Promotion, or to change its terms and conditions at any time without giving any reason. Information about the suspension/termination/modification of the terms and conditions of the Promotion will be posted at: https://yandex.ru/legal/realty_points/?lang=en.

5.2. By participating in the Promotion, the User fully and unconditionally agrees to the Promotion Rules, as well as the "Rules of the Yandex Plus Cashback Loyalty Program" (https://yandex.ru/legal/plus_loyalty), the "Terms of Use of Yandex.Realty Service".

5.3. In order to counteract unfair receipt of Promotional Points and/or abuse when receiving Promotional Points, the Promoter reserves the right to use methods not directly specified in these Terms and Conditions to verify that the User receives Promotional Points in accordance with these Rules, as well as to cancel the amount of already accrued Promotional Points or refuse to provide Promotional Points in case of identification of the abovementioned abuse and/or unfair receipt of Promotional Points. If there are not enough Points on the User's Card at the time when the corresponding amount of previously accrued Promotion Points is canceled, the balance of Points accrued to the User is reduced by the amount of previously accrued Promotion Points up to a negative value.

5.4. The Promoter has the right to suspend Users from participating in the Promotion in case of detection of unfair actions against the Promoter or other Users of the Promotion. The Promoter, at its discretion, determines the criteria for attributing the actions of the Promotion Users to unfair and has the right not to disclose these criteria, as well as the mechanisms for their detection.
