1. General Provisions
1.1. YANDEX LLC (hereinafter referred to as Yandex) offers the Internet user (hereinafter referred to as the User) to use its services on the terms set forth herein (hereinafter referred to as the Agreement, UA). The Agreement shall come into force from the moment the User agrees with its terms and conditions in the manner provided for in Clause 1.4 hereof.
1.2. Yandex shall offer Users access to a wide range of services, including navigation, communication, search, placement and storage of various kinds of information and materials (content), personalization of content, shopping, etc. All currently existing services of YANDEX LLC and other companies, the terms of use for which refer hereto (hereinafter referred to as the Yandex Services), as well as any development thereof and/or the addition of new ones, are the subject hereof.
1.3. The use of the Yandex Services shall be governed hereby, as well as by the following documents, which make an integral part hereof: the License to Use the Yandex Search Engine (https://yandex.ru/legal/termsofuse), Privacy Policy (https://yandex.ru/legal/confidential), Yandex ID Terms of Use (https://yandex.ru/legal/id_termsofuse), the Terms of Use of Linked Cards in Yandex Services (https://yandex.ru/legal/bank_card/), as well as the terms of use of individual Yandex Services. These Terms may be amended by Yandex without any notice, the new version of the Agreement shall become effective upon posting thereof on the Internet at the address specified in this paragraph, unless otherwise provided in the new version hereof. The current version of the UA is always available at https://yandex.ru/legal/rules.
1.4. By starting to use any service/its individual functions, or by going through the registration procedure, the User shall be deemed to have accepted the terms of the Agreement in full, without any reservations and exceptions. If the User disagrees with any of the provisions hereof, the User may not use the Yandex Services. If Yandex has made any changes hereto in accordance with the procedure provided for in Clause 1.3 hereof which the User does not agree with, the User shall cease using the Yandex Services.
2. User Registration. User Account.
2.1. In order to use some Yandex Services or some of individual functions thereof, the User may complete the registration procedure, as a result of which a unique account (Yandex ID) will be created for the User.
A User having reached the age of 14 may independently register an account and use Yandex Services within the legal capacity stipulated by the applicable law. If a User has not reached the specified age, as well as in cases where applicable law requires so, the use of the Yandex Services shall be allowed only with the consent of parents or other legal representatives.
Some Yandex Services may set other age restrictions, which may additionally be indicated in legal documents or in the interface/description of the website, application and/or other software product.
2.2. The procedure for creating, using an account (Yandex ID), as well as using the functions of the Yandex ID personal account shall be governed by the Yandex ID Terms of Use available at: https://yandex.ru/legal/id_termsofuse.
2.3. Yandex ID is an independent service which allows Yandex services to obtain the required data about the User stored in Yandex ID, which also allows the User to:
(1) store data related to the use of Yandex services in the Yandex ID service,
(2) provide third parties with access to the data stored in the Yandex ID service, including for Authentication purposes,
(3) delete data that may be processed in connection with the provision of the Yandex service, and obtain copies thereof,
(4) give and revoke consent to processing of data by persons providing Yandex services.
The person providing the Yandex ID service is the processor of personal data processed in Yandex ID and is responsible for compliance with the requirements of laws on personal data when processing the same.
2.4. In order to use some Yandex services, when undergoing the authorization, authentication or identification procedure with the use of third-party services (including, but not limited to, government information systems), as well as when the User links accounts in third-party services to Yandex ID in the External Accounts section of the Yandex ID personal account, the User's personal data received by Yandex may be processed by the person providing the Yandex ID service, as well as by the person providing the relevant Yandex service, for the purposes of authorization/authentication and gaining access to Yandex services, auto-population of information in Yandex service forms, restoring access in the event of problems with authorization/authentication in Yandex services, applying age restrictions provided for in Yandex services, as well as in other cases provided for in the Yandex ID Service Terms of Use or other documentation of the relevant Yandex service, or if Yandex has a legitimate interest in performing such actions.
3. General Provisions on the Use and Storage
3.1. Yandex may impose restrictions on the use of the Yandex Services for all Users, or for certain categories of Users (depending on the User's place of residence, the language in which the service is provided, etc.), including: the presence/absence of certain functions of the service, the retention period of mail messages in the Yandex Mail service, any other content, the maximum number of messages that may be sent or received by one registered user, the maximum size of a mail message or disk space, the maximum number of requests to the service for a specified period of time, the maximum storage period of the content, special parameters of uploaded content, etc. Yandex may prohibit automatic access to its services, as well as stop receiving any automatically generated information (for example, mail spam).
In order to protect the User's equipment and its own equipment, Yandex may restrict the reception of any messages and delivery thereof to the User when such messages contain malware or a malicious code, or when Yandex's automatic filtering and antivirus protection tools have detected the presence of such malware or malicious codes in such messages. The User is hereby notified and agrees that Yandex, for the specified purposes, may analyze and investigate such malware and malicious codes contained in these messages in order to improve the quality of the automatic filtering tools and antivirus protection of Yandex.
3.2. Yandex may send information messages to the User. Yandex may notify other Users of a particular service about the User's public actions, including the posting of new publications, actions performed by the User in relation to other Users' Content, as well as other activities performed by it within the service platform.
3.3. In order to improve the quality of the services, Yandex and/or the persons involved by it to perform the survey may collect opinions and feedback from the Users on various matters by sending an information message when the User next visits the service or by communicating the User using his/her contact details specified in the User's account (by phone or e-mail). The opinions and feedback may be used to generate statistics that may be used in the Services. The feedback provided by the User during the survey may also be posted by Yandex in the Yandex Services or in the services of Yandex affiliates, both with and without specifying the User's name (login). When giving feedback, the User shall observe the requirements hereof, including the requirements of paragraph 5 hereof.
3.4. When the User uses the services provided by Zen Platform, LLC, Account Image, User Name, User IDs, including device-id and cookies, email address, mobile phone number, information about the User's use of Yandex Services, may be transmitted to Zen Platform, LLC, for the purpose of providing services offered by Zen Platform, LLC, (https://dzen.ru/legal/termsofuse, https://yandex.ru/legal/news_termsofuse).
4. User Content
4.1. The User shall be solely responsible for the compliance of the posted User content with the applicable law requirements, including liability to third parties, when the User's content or its details violate third-party rights and legitimate interests, including personal non-proprietary rights of authors and other third-party intellectual property rights, and/or encroaches on intangible assets they own.
4.2. The User acknowledges and agrees that Yandex is not obliged to review any kind of content posted and/or distributed by the User through Yandex Services, as well as that Yandex may (but not is obliged to) at its sole discretion, refuse to post and/or distribute content to the User or remove any content that is available through Yandex Services. The User is aware and agrees that it shall independently assess all the risks associated with the content use, inter alia, assess the reliability, completeness, or usefulness of this content.
4.3. The User understands and acknowledges that the technology of the Yandex Services may require copying (reproduction) of the User's content by Yandex, as well as processing it by Yandex to meet the technical requirements of a particular service.
4.4. When processing complaints received regarding the User content, Yandex is guided by the principles of Restriction of the rights of anonymous content posted at https://yandex.ru/company/rules/anonymous_content, unless otherwise stipulated by the terms of use of the service.
5. Terms of Yandex Service Use
5.1. The User shall be solely responsible, including to third parties, for its actions related to the use of the Yandex Services, inter alia, if such actions lead to a violation of the rights and legitimate interests of third parties, as well as for compliance with the law when using the Yandex Services.
5.2. When using Yandex Services, the User may not:
5.2.1. upload, send, transmit or in any other way post and/or distribute content that is illegal, malicious, defamatory, offending morality, demonstrating (or being a propaganda of) violence and cruelty, violating intellectual property rights, promoting hatred and/or discrimination of people on racial, ethnic, sexual, religious, social grounds, containing insults against any persons or organizations, containing elements (or is propaganda) of pornography, child eroticism, being an advertisement (or propaganda) of sexual services (including under the guise of other services), explaining the procedure for the manufacture, any use of narcotic substances or analogues, explosives or other weapons;
5.2.2. violate the rights of third parties, including minors, and/or harm them in any form;
5.2.3. impersonate any other person or a representative of an organization and/or community without sufficient rights, including Yandex employees, forum moderators, site owner, as well as use any other forms and methods of illegal representation of other persons on the network, as well as mislead users or Yandex about properties and characteristics any subjects or objects;
5.2.4. upload, send, transmit or in any other way post and/or distribute content, in the absence of rights to such actions under the law or any contractual relationship;
5.2.5. upload, send, transmit or in any other way post and/or distribute advertising information that is not specifically permitted, spam (including search), lists of other people's email addresses, pyramid schemes, multilevel (network) marketing (MLM), Internet earnings systems and e-mail businesses, “chain letters”, as well as use Yandex services to participate in these events, or use Yandex services exclusively to redirect users to pages of other domains;
5.2.6. upload, send, transmit or in any other way post and/or distribute any materials containing viruses or other computer codes, files or programs designed to disrupt, destroy or limit the functionality of any computer or telecommunications equipment or programs for unauthorized access, as well as serial numbers to commercial software products and programs for generation thereof, logins, passwords and other means of obtaining unauthorized access to paid Internet resources, as well as posting links to the above information;
5.2.7. collect and store personal data of other persons without authorization;
5.2.8. disrupt the normal operation of Yandex websites and services;
5.2.9. promote actions aimed at violating the restrictions and prohibitions imposed hereby;
5.2.10. reproduce, mimic and copy, sell and resell, as well as use for any commercial purposes any parts of the Yandex Services (including content available to the User through the Yandex Services), or access to them, except when the User has received such permission from Yandex, or when it is expressly provided for in any service user agreement;
5.2.11. otherwise violate the provisions of laws, including the provisions of international law.
6. Exclusive Rights to the Service Materials and Content
6.1. All objects accessible through the Yandex Services, including design elements, text, graphics, illustrations, videos, computer programs, databases, music, sounds and other objects (hereinafter referred to as the Yandex Services Materials), as well as any content posted on the Yandex Services, shall be subject to the exclusive rights of Yandex, Users and other rightholders.
6.2. The use of content, as well as any other elements of Yandex Services, shall be possible only within the functionality offered by this or that service. No elements of the Yandex Service Materials, as well as any content posted on Yandex Services, may be used in any other way without the prior permission of the rightholder. “Use” shall mean, inter alia: reproduction, copying, processing, distribution on any basis, display in a frame, etc. Exceptions are cases explicitly provided for by the Russian law or the terms of use of a particular Yandex Service.
The User's use of elements of the Yandex Service Materials, as well as any content for personal non-commercial use, shall be allowed provided that all copyrights, related rights, trademarks, other notices of authorship are preserved, the name (or aliased name) of the author/name of the rightholder is preserved unchanged, and the corresponding object is preserved unchanged. Exceptions are cases explicitly provided for by the Russian Law or user agreements of a particular Yandex Service.
7. Third-Party Websites and Content
7.1. Yandex Services may contain links to other websites (third-party websites). The aforementioned third parties and their content shall not be checked by Yandex for compliance with certain requirements (reliability, completeness, legality, etc.). Yandex shall not be responsible for any information, materials posted on third-party websites that the User accesses using Yandex Services, inter alia, for any opinions or statements expressed on third-party websites, advertising, etc., as well as for the availability of such websites or content and the consequences of the use thereof by the User.
7.2. A link (in any form) to any website, product, service, or any information of a commercial or non-commercial nature posted on the website shall not constitute an endorsement or recommendation of such products (services, activities) on the part of Yandex, except for the cases where this is explicitly indicated in Yandex resources.
8. Advertising at Yandex Services
8.1. Yandex shall be responsible for advertising posted by it in Yandex Services, to the extent provided for by the law of the Russian Federation.
9. No Warranties, Limitation of Liability
9.1. The User shall use the Yandex Services at its own risk. The Yandex Services shall be provided “as is”. Yandex shall not assume any responsibility, inter alia, for the compliance of the Yandex Services with the User's goals.
9.2. Yandex shall not guarantee that: Yandex Services meet/will meet the User's requirements; Yandex Services will be provided continuously, promptly, reliably and without errors; the results that may be obtained using the Yandex Services will be accurate and reliable and may be used for any purpose or in any capacity (for example, to establish and/or confirm any facts); the quality of any product, service, information, etc. obtained using the Yandex Services will meet the User's expectations.
9.3. The User may use, at its own risk, any information and/or materials (including downloadable software, emails, any instructions and guides to action, etc.) that the User gets access to using the Yandex Services, and shall be solely liable for the possible consequences of using the specified information and/or materials, in particular for the damage that it may cause to the User's computer or to third parties, for data loss or any other harm.
9.4. Yandex shall not be liable for any kind of damages resulting from the User's use of Yandex Services or individual parts/functions of the Yandex Services.
9.5. Under any circumstances, Yandex's liability in accordance with Article 15 of the Civil Code of the Russian Federation shall be limited to ten thousand rubles (RUB 10,000) and shall be imposed on it if its actions are faulty.
10. Miscellaneous
10.1. This Agreement is an agreement between the User and Yandex regarding the use of the Yandex Services and supersedes all previous agreements between the User and Yandex.
10.2. This Agreement is governed by and construed in accordance with the laws of the Russian Federation. Any issues not governed by this Agreement shall be resolved in accordance with the laws of the Russian Federation. All possible disputes arising out of or in connection with relations governed hereby shall be resolved as specified by the applicable law of the Russian Federation, under the rules of Russian law. Throughout the text of this Agreement, unless expressly stated otherwise, the term “laws” shall be construed as meaning both the laws of the Russian Federation and the laws of the User's place of residence.
10.3. As regards the services provided hereunder and Yandex Services on a royalty-free basis, the consumer protection regulations provided by the Russian law may not be applicable to the relations between the User and Yandex.
10.4. If the Yandex Services provide for the possibility of a paid subscription, then in order to subscribe and further pay for the subscription, the User shall link its bank card to its account (hereinafter referred to as the Linked Card). For the purposes hereof, any bank card linked to the User's account (including those linked when subscribing to Yandex Services either before subscribing or after subscribing) shall be considered a Linked Card. The procedure for adding and using Linked Cards shall be governed by the terms posted at: https://yandex.ru/legal/bank_card.
When the User makes a cashless payment using the functions of the Yandex Services and applications and those of Yandex affiliates to third parties without authorization in Yandex services and without linking a bank card to the User account in the Yandex Services, Yandex shall keep the data specified by the User in the payment form solely for technical purposes of making a payment without linking to a specific User account. The entered information shall be kept and processed on the terms and conditions and for the purposes specified in the Privacy Policy (https://yandex.ru/legal/confidential).
10.5. Nothing in the Agreement may be understood as establishing agency relations, partnership relations, joint venture relations, employment relations, or any other relations established between the User and Yandex that are not expressly stipulated by the Agreement.
10.6. If, for any reason, one or more provisions of this Agreement are acknowledged invalid or unenforceable, it does not affect the validity or enforceability of the remaining provisions of the Agreement.
10.7. Yandex's failure to act if the User or other users violate provisions of the Agreements will not deprive Yandex of the right to take proper measures to protect its interests later and will not mean that Yandex waives its rights, if any such or similar violations occur in the future.
10.8. This Agreement is executed in Russian and in some cases may be provided to the User in another language for review. If there are differences between the Russian version and a version in any other language, the provisions of the Russian version of this Agreement shall prevail.
