License Agreement for the use of the Yandex Messenger program

1. General Provisions

1.1. Yandex (as defined in the Yandex Services User Agreement) offers the Internet User (hereinafter referred to as the User) to use the functionality of the Yandex Messenger program (the "Program") as part of other Yandex programs, products and/or services (hereinafter collectively referred to as "Yandex Services").

1.2. By using the Program, the User agrees that the following documents are integral parts of this License Agreement, the terms and conditions of which fully apply to the use of the Program:

The use of the main functionality of the Yandex Service, which includes the Yandex Messenger service, as well as the Yandex Service, the launch of which is initiated by a User's request in the Service, is subject to the Terms of Use of the corresponding Yandex Service, posted at: https://yandex.ru/legal.

1.3. By starting to use the Program/its individual functions, the User shall be deemed to have accepted this License Agreement on the terms of an ordinary non-exclusive license, as well as the terms of all the above documents, to the full extent and without any reservations and exceptions. If the User disagrees with any of the provisions of the said documents, the User is not entitled to use the Program.

1.4. This License Agreement may be amended by Yandex without any special notice, and the new version of the License Agreement shall come into force from the moment it is posted on the Internet at the address specified in this paragraph, unless otherwise provided for in the new version of the License Agreement. The current version of the License Agreement is always available at: https://yandex.ru/legal/messenger_termsofuse/.

1.5. If Yandex has made any amendments to this License Agreement, in the manner stipulated in clause 1.4. of the License Agreement, which the User does not agree, the User shall cease using the Program.

1.6. When using the Program, informational messages can be sent to the User, including reminders about the date of birth of other Users whose data is recorded in the User's phone book.

2. Terms of use of individual functions of the Software

2.1. The Program provides an authorized User with the functionality to exchange information, send and receive messages, as well as audio, video materials and images (the "Content") with other Users of the Program, create and post messages in public chats (geochats), as well as the functionality to edit and delete messages posted by the User.

The full functionality of the Program is available to Users when they go through the registration procedure for a new User of Yandex Services, according to the terms and conditions specified in the User Agreement for Yandex Services (https://yandex.ru/legal/rules), or authorization in the Program using a previously registered Yandex ID account. In order to complete the authorization procedure, the User shall specify the User's current phone number and enter the confirmation code sent to the specified phone number. In case of a phone number change, the User is obliged to update this information in a timely manner through the Program interface. Yandex shall be entitled to verify the relevance of the specified phone number by sending a notification asking the User to confirm the use of the previously specified number.

When using the Program, information about the User's date of birth, if it is specified and not hidden in the User's account, is available to other Users whose contacts are listed in the User's phone book.

For Users who have not been authorized, it is possible to view public chats, as well as interact with third-party organizations on the terms and conditions specified in clause 2.2. hereof.

2.2. The Program provides the User with the opportunity to call third-party software products (bots, chats) and/or interact with third-party organizations (the "Partners"), as well as regarding the User's payment for the Partner's goods/works/services.

The User's interaction with Partners and/or their software products shall be carried out by the User independently (without the participation of Yandex). Yandex shall not be a participant in legal relations established between Yandex Users and Partners.

The procedure and conditions for processing Users' personal data transmitted by Users to Partners during the use of software products, purchase of goods / works / services of a Partner shall be determined by the Partners independently. Yandex is not aware of the content of the correspondence between Users and Partners, nor of the presence or absence of the User's personal information transmitted to the Partner.

In order to carry out quality control, including to verify the fact and conditions of interaction between the User and the Partner within the Program, as well as regarding the User's payment for the Partner's goods/works/services; or to comply with legal requirements, Yandex may save histories of interactions between Users and Partners through the relevant functions of the Program. Yandex and its employees can access such interaction history for the specified purposes, as well as at the request of the participants in the interaction and in cases established by law. a In case the Program's functionality is used within the framework of other Yandex services and products, as well as third-party services and products, the procedure for using Users' personal information in the Program may differ. Special conditions for the processing of personal information within the framework of the functionality of the Program as part of another service or product must be communicated to the User in the terms of use of the relevant service or product.

2.3. The Program provides the User with the ability to create, view, and post messages, including the publication of Content, in public chats.

2.3.1. Authorized Users shall be entitled to post messages in a public chat, provided that they comply with the requirements of this License Agreement posted at: https://yandex.ru/support/messenger/rules.html. The messages are available for viewing in the Program within 24 hours from the moment they are posted.

2.3.2. When the User posts messages in a public chat, the information posted by the User is available to the public at large worldwide. If a review is published "on your own behalf", the User's public display name (first name and first letter of last name, unless otherwise specified) specified by the User in the Yandex Services account, as well as an image (profile picture/avatar) from the User's profile page and a link to the User's account page (if applicable) will be published along with the message.

2.3.3. Yandex is entitled, without notifying the User and without explaining the reasons, not to accept the User's message for posting, or at any time to delete or hide part of its content at its discretion.

2.3.4. When the User deletes the Yandex ID account, the User name data will be displayed in the Program for the persons with whom the User corresponded, in particular, in public chats. Third parties will also see a notification that such User's account has been deleted.

2.4. The Program provides the User with the ability to create a chat channel, which offers the owner (administrator) of the chat channel to post Content available for viewing by Users who subscribe to the channel (the "Channel"). Relations regarding the use of the Channel's Content in the Program may be settled with the Channel Owner under special conditions at the discretion of Yandex.

The Channel Owner shall be responsible for the content of the Channel. The Channel Owner shall be obliged to comply with the requirements of clause 2.5 hereof and to prevent the posting of Content containing the following information:

2.4.1. illegal, malicious, slanderous, purposefully misleading, injuring morality, demonstrating (or advocating) violence and cruelty, promoting hatred and/or discrimination against people in racial, ethnic, sexual, religious, social designation, containing obscenities, insults to any persons or organizations, containing elements (or popularization) of pornography, child erotica, which advertise (or promote) sexual services (including under the guise of other services) explaining the procedure for manufacturing, the use or other disposal of narcotic substances or their analogues, explosives or other weapons;

2.4.2. violating copyrights, trademarks, means of individualization and/or rights to other intellectual property belonging to third parties;

2.4.3. intentionally misleading the Users of the Program regarding the ownership of the published Content and/or the User's account to another person, organization, or Yandex, including by using names, pseudonyms, name titles, photographs, trademarks, and logos belonging to other persons or organizations;

2.4.4. containing spam (including spamdexing), lists of other email addresses, pyramids, multi-level (network) marketing (MLM), Internet earnings and e-mail business systems, chain e-mails;

2.4.5. containing illegally obtained information about third parties;

2.4.6. violating the requirements of legislation on advertising and/or competition legislation;

2.4.7. containing computer viruses or other computer codes, files or programs designed to violate, modify, block, destroy or limit functionality of any computer or telecommunications equipment, or containing programs for unauthorized access, as well as serial numbers to commercial software and programs for their generation, logins, passwords and other means to obtain unauthorized access to the Website, as well as paid resources on the Internet;

Yandex reserves the right, without notice and at its sole discretion, to remove the Content of the Channel or the Channel in its entirety, including if the Content is inconsistent with applicable law, the provisions of this License Agreement, as well as to restrict access of the owner (administrator) of the Channel to the Program (or to certain functions of the Program, if technologically possible) or completely block the User's account if it is found to be inconsistent with the provisions of this License Agreement and/or in violation of the License Agreement and other regulatory documents. Yandex also shall have the right to apply other measures to the User in order to comply with legal requirements or the rights and legitimate interests of third parties.

When posting Content that is not intended for viewing by persons under a certain age established by applicable law, the owner (administrator) of the Channel must set a mark in the Channel or next to the Content indicating the age restrictions for viewing the Content/Channel, or otherwise indicate these restrictions on viewing the Content/Channel. If the specified actions are not taken, Yandex is entitled (but is not obligated) to independently set the appropriate mark regarding the presence of age restrictions, if necessary. Yandex shall not be responsible for the correctness of setting the age limit for viewing Content by the User.

Users can file a complaint regarding the content of the Channel and/or the actions of the Owner (administrator) of the Channel using a special interface tool within the Channel, or through the feedback form at: https://yandex.ru/promo/messenger/feedback.

2.5. The User undertakes to use the Program only for legal, permitted and acceptable purposes. When using the Program, the User is prohibited from:

  • distributing Content, messages containing insults, threats, intentional intimidation, incitement to illegal and/or life-threatening and health-threatening behavior;
  • using the Program for the purpose of committing illegal actions;
  • violating the exclusive rights of Yandex, other Users and third parties;
  • distributing knowingly false, inaccurate or misleading information;
  • impersonating another person;
  • carrying out mass mailings, automatic calls, distributing automatic messages, or other actions that affect the privacy of Users;
  • performing other actions that create a threat of violating the rights of Yandex, Users and third parties.

2.6. The User is hereby notified and agrees that chats in this Program can be automatically synchronized and displayed in the Yandex Telemost program, as well as User chats in the Yandex Telemost program can be automatically synchronized and displayed in this Yandex Messenger Program within the same Yandex ID account.

2.6.1. In case of discrepancies between this License and the Yandex Telemost License Agreement, available at: https://yandex.ru/legal/telemost_mobile_agreement in terms of regulating the same, similar or related issues, including those related to the use of Channels and chats, the publication of Content and messages, as well as the restrictions applied, the User is subject to the terms and provisions of the Yandex Telemost License Agreement.

3. Intellectual Property

3.1. The User is solely responsible to third parties for its actions related to the placement and distribution of Content using the Program, including for the fact that such placement and distribution of Content complies with the requirements of applicable laws and does not violate the rights and legitimate interests of third parties. The User acknowledges and agrees that the Content posted and distributed by the User containing intellectual property items should not infringe copyrights, trademark rights, means of identification and/or other intellectual property rights belonging to third parties. The User undertakes to settle all third-party claims arising from the posting (editing) or distribution of Content containing intellectual property items independently and at own expense.

3.2. The publicly available Content posted by the User in the Program may be used by Yandex on other Yandex services and resources, as well as in advertising, informational, or marketing materials, or in materials sent in mailings to other Users to draw their attention to the Content, to the Program as a whole or to other Yandex resources and services, goods, works and services of third parties, both with the indication of the author of the Content (the User's name (pseudonym) that was specified in the Program will be indicated as the author's name), and without such indication, as well as without the need to obtain special permission from the User and without paying royalties worldwide without time limits. Yandex is entitled to grant the rights specified in this clause to third parties. In this case, the User acknowledges and agrees that Yandex is not obliged to view the Content uploaded by the User to the public domain, and its use in the specified ways for the specified purposes can be carried out automatically by means of software. If the User does not have sufficient authority to grant Yandex the rights to use the Content uploaded by the User in this manner, the User is obliged to refrain from uploading such content items.

3.3. The rights to all items that make up the design of the Program as a whole, and its individual elements, for the Program's software and the Program itself, belongs to Yandex. By starting to use the Program, the Users shall guarantee that they do not perform and will not perform any actions aimed at bypassing the technical means of protection against unauthorized use of the above-mentioned intellectual property items. Any copying, reproduction, processing, distribution, making available to the public, circumvention of technical protection means, or other use beyond the capabilities provided by the Program, as well as any use of the intellectual property items for commercial purposes is prohibited.

4. Limitation of liability

4.1. The Program is provided on an "as is" basis. Yandex shall not guarantee the compliance of the Program with the goals and expectations of the User, the security of the data submitted and posted by the User in the Program, the uninterrupted and error-free operation of the Program as a whole and its individual functions, in particular. Yandex shall be entitled to completely or partially change the functionality provided by the Program at any time.

4.2. Yandex shall not be liable for any direct or indirect consequences of any use or inability to use the Program and/or damage caused to the User and/or third parties as a result of any use, non-use or inability to use the Program or its individual functions, including due to possible errors or failures in the operation of the Program.

4.3. Yandex does not guarantee the reliability, accuracy, completeness and quality of information posted in the Program, including its compliance with laws and observance of the rights of third parties. Under no circumstances shall Yandex be liable for any information posted in the Program. The User shall independently assess all risks associated with the use of information, including the assessment of reliability, completeness or relevance, as well as its compliance with applicable laws.

4.4. Yandex is under no obligation to moderate, view, edit or control the messages and Content posted within the Program and provides no warranty that the information, messages and materials posted by the User within the Program do not breach provisions of this License Agreement, legal enactments and other documents. The User acknowledges and agrees that the latter must independently assess all risks associated with the use of information, messages and materials posted in the Program, including an assessment of their legality.

4.5. Yandex reserves the right, at its own discretion, to restrict the User’s access to the Program (or to certain functions of the Program, if technologically possible) using its own account, or to fully block the User’s account in case of repeated gross violations of the terms and conditions of this License Agreement or other regulatory documents, or to take other measures against the User to ensure that legislative requirements are met or third-party rights and legitimate interests are respected.

4.6. If there is reasonable ground to believe that information posted in the Program or the User's actions may violate the law or the rights and interests of third parties, the User may submit a complaint using the feedback form available at https://yandex.ru/promo/messenger/feedback or through the Program's dedicated functionality.

5. Data within the Program. Miscellaneous

5.1. The functions of the Program are available only if you have access to the Internet. The User independently receives and pays for such access on the terms and at the rates of his telecom operator or Internet provider.

5.2. All data on the use of the Program by the User is stored and processed in accordance with Privacy Policy (https://yandex.ru/legal/confidential).

In order to protect the User's hardware and its own hardware, Yandex has the right to restrict the reception of any messages and their delivery to the User when such messages contain malware or a malicious code, or when Yandex's automatic filtering and antivirus protection tools have detected the presence of such malware or malicious codes in the specified messages. The User is notified and agrees that Yandex is entitled, for the specified purposes, to analyze and research such malicious programs and codes contained in the specified messages in order to improve the quality of Yandex's automatic filtering and antivirus protection.

5.3. The Program provides access to the device's phone book and call log data, and collects and stores the following data from the User's device: contacts of third parties stored on the device requested by the User in the Program, data on incoming and outgoing calls of the User, data on the fact of acceptance, rejection, lack of action on the part of the User with respect to an incoming call, data on the facts of the beginning and end of the call.

5.4. When using the Program, the following information is automatically and anonymously transmitted to Yandex (without being linked to the User): the type of operating system of the User's device, geolocation data, anonymized voice recordings, statistics on the use of Program functions, and other technical information.

5.5. Any information used in the Program is intended solely for personal, non-commercial use. At the same time, any copying of the Program's information, including using automatic and other software tools for gaining access to data, its reproduction, processing, distribution, making available to the public (publication) on the Internet, any use in the media and/or for commercial purposes without the prior written permission of Yandex is prohibited.

5.6. Any and all questions, requests and claims related to the use/inability to use the Program, as well as any potential infringement by the User of the laws and/or third party rights, shall be forwarded via the feedback form available at: https://yandex.ru/promo/messenger/feedback.
